Shares of QXO, Inc. (NYSE: QXO) sank 23% in July after the building materials distributor closed its largest-ever deal, the $17 billion takeover of TopBuild. The slide followed a month in which investors showed little appetite for QXO stock, choosing cash instead of shares in the acquisition. Oil prices and interest rates rose in July, adding pressure to housing-linked stocks.

QXO is run by CEO Brad Jacobs, who has spent years rolling up smaller building-products distributors into a single giant. The TopBuild purchase is the biggest yet in a string of deals that also included Beacon Roofing for $11 billion and Kodiak Building Partners for $2.25 billion. But even as QXO pursues this strategy, investors seem uneasy about the size of the new debt load and the price paid for TopBuild, a company already known for strong margins.

TopBuild shareholders voted overwhelmingly to take cash rather than QXO stock, with only 1.4% opting for shares. QXO itself has acknowledged that TopBuild doesnโ€™t need the same kind of turnaround its earlier purchases did. Instead, the plan is to blend TopBuildโ€™s high-quality operations with QXOโ€™s broader platform. Still, the cash-heavy vote may signal skepticism about whether the deal leaves enough room for future gains.

The broader market backdrop didnโ€™t help. Oil prices climbed as Middle East tensions flared, lifting interest rates and weighing on cyclical sectors like housing and construction. With QXO now carrying more debt and facing higher borrowing costs, the next few quarters will show whether the TopBuild deal pays off or becomes a burden. Investors will watch closely to see if the promised synergiesโ€”cross-selling, technology upgrades, and pricing disciplineโ€”actually materialize.
