Citigroup’s U.S. Consumer Cards unit announced on late Thursday that it will acquire Kard Financial, a commerce‑media and rewards platform, in a deal whose terms remain undisclosed and are not considered material to the bank’s financial results. The announcement came as part of Citi’s broader strategy to expand its consumer card offerings and enhance its payment services across the United States.
Kard Financial has built a reputation for helping banks and fintech firms boost customer engagement through personalized offers. By combining its technology, commerce platform, talent and merchant relationships with Citi’s scale and payments expertise, the acquisition aims to strengthen Citi’s commerce ecosystem. The move is intended to provide more tailored rewards and offers to cardholders, while creating new channels for connecting customers, merchants and brands.
The transaction is subject to customary closing conditions, and Keefe, Bruyette & Woods, a Stifel company, served as Kard’s exclusive financial advisor. While the deal’s value was not disclosed, the market reacted modestly: Citi shares were trading 0.10 percent higher at $138.87 in overnight NYSE trading after closing Thursday at a 0.84 percent gain.
If the acquisition closes, Citi will be better positioned to compete with fintech challengers by offering a richer rewards experience and deeper data insights. The integration could also provide merchants with new marketing tools and help banks retain customers through more engaging, personalized experiences. For consumers, the merger promises a broader range of customized offers and a smoother checkout experience, while for the bank it signals a continued push toward technology‑driven growth in the highly competitive payments space.
