FORT Robotics Inc. has announced a plan to go public through a merger with Newbury Street II Acquisition Corp., a special purpose acquisition company (SPAC). The deal, unveiled on Tuesday, is anticipated to close in the fourth quarter of 2026. Following the merger, the newly combined entity will be known as FORT Robotics Holdings Inc. and is expected to trade on Nasdaq under the ticker symbol FROB.

This move comes as FORT Robotics seeks to leverage the capital markets to accelerate its growth. The transaction values the combined company at approximately $556.6 million, which includes a pre-money equity value of $500 million. This strategic partnership is designed to provide around $201 million in gross proceeds, with contributions from private investments and commitments from both new and existing institutional investors. The financial backing is crucial for FORT Robotics as it aims to enhance its product development, expand its global market presence, and pursue targeted acquisitions.

FORT Robotics reported a robust 62% year-over-year revenue growth in 2025, indicating strong demand for its safety solutions in robotics and physical artificial intelligence. Operating expenses also increased by 19% during the same period, reflecting the companyโ€™s investments in scaling its operations. The transaction is structured to ensure that existing shareholders will roll 100% of their equity into the new entity, maintaining about 67% ownership upon closing.

As the robotics industry continues to evolve, this merger positions FORT Robotics to capitalize on emerging opportunities. With an influx of capital, the company can accelerate its initiatives, which may enhance its competitiveness in a rapidly growing market. The deal represents a significant milestone for FORT Robotics and could serve as a catalyst for further innovations within the sector.
